The Management Board of Selena FM S.A. hereby announces that today a purchase order was settled in connection with the announcement of a tender offer for the sale of shares in Izolacja Jarocin S.A.
The shares of Izolacja were acquired under an agreement concluded in June this year between Selena Industrial Technologies sp. z o.o. with its registered office in Dzierżoniów, a subsidiary of the Company, and the main shareholders of IZOLACJA – JAROCIN S.A., i.e. Mr. Tomasz Ignatowicz, Ms. Zofia Pietrus, and Ms. Anna Inczewska, regulating the obligations of the Sellers in connection with the tender offer for the sale of 100% of shares in “IZOLACJA-JAROCIN” S.A., in which the Sellers undertook to respond to the Tender Offer by submitting a subscription for the sale of shares.
Selena, in accordance with the agreement, acquired 1,941,164 shares of the Sellers at a fixed price of PLN 3.50 per share.
At the same time, the acceptance of subscriptions for the remaining 3,800,000 shares issued by “IZOLACJA – JAROCIN” S.A. at a price of PLN 3.60 per share will continue until September 12, 2025.
The company announces that it does not anticipate extending the tender offer period.
