Announcement by the Management Board of the Selena Group on the conclusion of an agreement to acquire, by way of a tender offer, the shares of IZOLACJA – JAROCIN S.A. and the shares in PHP TES sp. z o.o.

Both transactions are subject to the condition precedent of obtaining an unconditional decision from the President of the Office of Competition and Consumer Protection approving the concentration consisting of the acquisition of control over “IZOLACJA – JAROCIN” S.A. and Trading and Manufacturing Company TES sp. z o.o., through the acquisition of shares, in accordance with the relevant provisions of the Act on Competition and Consumer Protection.

Along with the information about the transaction, Selena announced the initiation of a procedure to invite bids for the sale of 100% of the shares of Izolacja-Jarocin S.A. The Management Board of Selena FM S.A. will announce the finalization of the transaction and fulfillment of the condition precedent in separate announcements.

IZOLACJA – JAROCIN S.A. is a company with a long tradition that currently offers one of the most extensive selections of waterproofing and sealing products for the construction industry in the country.
